Submission Agreement

IMPORTANT — READ BEFORE SUBMITTING. By uploading, emailing, DM'ing, or otherwise providing any music, lyrics, video, artwork, résumé, cover letter, biography, or other material (collectively, "Submission") to UIDMG LLC ("Company", "we", "us"), you agree to the following terms. If you do not agree, do not submit.

1. Voluntary & Unsolicited

All Submissions are voluntary and unsolicited. No confidential or fiduciary relationship is created by your Submission, and none should be implied from any communication.

2. Your Representations & Warranties

You represent and warrant that:

• You are 18 years of age or older (or the age of majority in your jurisdiction) and have full authority to enter into this Agreement;
• You are the sole owner of the Submission or have obtained all rights, licenses, consents, and permissions necessary to submit it, including from co-writers, performers, producers, sample owners, and any featured minors' guardians;
• The Submission is original and does not infringe, misappropriate, or violate any third-party right, including copyright, trademark, publicity, privacy, or moral rights;
• You have not entered into any exclusive publishing, recording, management, or similar agreement that would prevent you from submitting the material to UIDMG or entering into an agreement with UIDMG;
• The Submission does not contain unlawful, defamatory, obscene, or infringing content.

3. Non-Confidentiality

You acknowledge that UIDMG receives many Submissions and independently develops music, arrangements, marketing concepts, and campaigns. Except as expressly agreed in writing, no Submission is submitted or received in confidence. UIDMG has no obligation to preserve the confidentiality of any Submission or to return it to you.

4. Limited Evaluation License

You grant UIDMG a limited, worldwide, royalty-free, non-exclusive, non-transferable license to internally reproduce and evaluate the Submission for the sole purpose of considering whether to enter into a formal recording, publishing, licensing, sync, or similar agreement with you. This license does not permit public performance, distribution, sync, sampling, or exploitation of the Submission. Any commercial use of the Submission by UIDMG will require a separate, signed written agreement.

5. No Obligation

UIDMG is under no obligation to review, respond to, use, license, sign, publish, distribute, or return your Submission, or to compensate you for any Submission. Similarity between the Submission and material later released, licensed, or represented by UIDMG or its affiliates shall not create any liability where UIDMG independently developed or acquired the material.

6. Independent Development

UIDMG and its personnel encounter and generate creative material in the ordinary course of business. Nothing in this Agreement restricts UIDMG from independently creating, acquiring, or releasing works that may be similar to your Submission, and you release UIDMG from any claim arising out of such similarity absent a separate written agreement to the contrary.

7. Indemnity

You agree to indemnify, defend, and hold harmless UIDMG LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) any breach of your representations and warranties in Section 2; or (b) any third-party claim relating to the Submission.

8. Personal Information

The processing of any personal information contained in your Submission is governed by our Privacy Policy.

9. Governing Law & Venue

This Agreement is governed by the laws of the State of California, USA, without regard to conflict-of-law rules. The exclusive venue for any dispute is the state and federal courts in the County of Los Angeles, California. You waive any objection to venue or jurisdiction there.

10. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and UIDMG relating to your Submission and supersedes all prior discussions. Any exploitation, signing, or transaction concerning a Submission will require a separate written agreement executed by UIDMG.
