Terms of Service

PLEASE READ THESE TERMS CAREFULLY. By accessing or using uidmg.com or any related service (the "Services"), you enter into a binding agreement with UIDMG LLC, a California limited liability company (the "Company", "we", "us"). If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into contracts. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.

2. Accounts, Applications & Submissions

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under them.
• You will provide accurate, current, and complete information and update it as needed.
• Any material you submit — including demos, résumés, cover letters, songs, lyrics, and press materials — is governed by our Submission Agreement, which is incorporated herein by reference.

3. Intellectual Property

The Site, including its text, logos, marks (including the UIDMG shield), graphics, code, sound recordings, musical works, and compilations, is owned by UIDMG LLC or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license below, no rights are granted.

Limited license. Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable license to access and use the Site for lawful, non-commercial personal use. You may not reproduce, distribute, publicly perform, display, modify, or create derivative works from any material on the Site except as expressly permitted (for example, downloading the electronic press kit under its stated terms).

4. Prohibited Conduct

You agree not to:

• Use the Services in violation of any law or third-party right;
• Upload malware, viruses, or automated scraping tools;
• Reverse-engineer, decompile, or attempt to derive source code;
• Circumvent security measures, rate limits, or authentication;
• Impersonate any person or entity, or misrepresent your affiliation;
• Submit content that is defamatory, obscene, infringing, hateful, or otherwise unlawful.

5. Copyright & DMCA

UIDMG respects intellectual-property rights. If you believe content on the Site infringes your copyright, please follow the notice-and-takedown procedure set out in our Copyright / DMCA Policy.

6. Third-Party Services

The Services integrate with or link to third-party platforms (Spotify, Apple Music, YouTube, Instagram, TikTok, Linktree). Those services are governed by their own terms; we are not responsible for their content, availability, or practices.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL UIDMG LLC, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, arising out of or related to your use of the Services, regardless of the theory of liability, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of these Terms will not exceed the greater of (a) US $100 or (b) the amounts you have paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages, so some of the above may not apply to you.

9. Indemnification

You will indemnify, defend, and hold harmless UIDMG LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) your violation of these Terms or applicable law; or (c) your infringement of any third-party right.

10. Governing Law & Venue

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. The exclusive venue for any dispute is the state and federal courts located in the County of Los Angeles, California, and you consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Dispute Resolution & Arbitration

Please read this Section carefully — it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in Los Angeles, California, or via videoconference. YOU AND UIDMG LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

You may opt out of this arbitration provision by mailing written notice to UIDMG LLC, Los Angeles, CA, within 30 days of first accepting these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Sections 3, 5, 7–11, and 13 survive termination.

13. Miscellaneous

These Terms, together with our Privacy Policy, Cookie Policy, Submission Agreement, and DMCA Policy, constitute the entire agreement between you and UIDMG LLC. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign freely. Notices to us must be sent to legal@uidmg.com.
